SUPPLIER RIGHTS AND OBLIGATIONS

1. INTRODUCTION

This document sets out the rights and obligations of suppliers when using the VNMaterial platform to post and manage their product and service information. By registering and using the service, suppliers agree to comply with these terms.

2. SUPPLIER RIGHTS

2.1. Right to Post Information

  • Post product and service information, images, and detailed descriptions.
  • Update and edit product information at any time.
  • Manage product categories and classification as needed.
  • Set pricing, promotions, and sales policies.

2.2. Account Management Rights

  • Access a dedicated management system to manage products and orders.
  • View statistics and reports on views and product engagement.
  • Manage contact information and update business profile.
  • Receive notifications of contact requests from customers.

2.3. Right to Information Protection

  • Login and data information is kept secure to standard.
  • Right to control the display of public information.
  • Request to hide or remove inaccurate information.

2.4. Right to Support

  • Receive technical support from the VNMaterial team.
  • Participate in training and usage guidance programs.
  • Suggest improvements to features and services.

3. SUPPLIER OBLIGATIONS

3.1. Obligation to Provide Accurate Information

  • Provide complete, accurate, and legal business information.
  • Ensure product information accurately reflects quality, features, and price.
  • Update information when changes occur (price, stock, specifications).
  • Do not post false, fraudulent, or misleading information.

3.2. Obligation to Comply with Law

  • Fully comply with Vietnamese law on e-commerce.
  • Ensure posted products and services are legal and properly licensed.
  • Be responsible for the quality of products and services provided.
  • Fulfill all tax and other financial obligations.

3.3. Obligation to Protect Intellectual Property

  • Only post product images and descriptions you have the right to use.
  • Do not infringe copyright, trademarks, or third-party intellectual property.
  • Be responsible for any IP infringement related to content you post.

3.4. Obligation to Handle Customer Requests

  • Respond promptly to contact and consultation requests from customers.
  • Provide complete, accurate information when customers request it.
  • Handle complaints and feedback seriously and transparently.
  • Honor commitments on quality, price, and delivery time.

3.5. Security Obligations

  • Keep account login information secure and do not share with others.
  • Notify VNMaterial immediately if you detect unauthorized account use.
  • Do not use the account for illegal purposes.

3.6. Payment Obligations

  • Pay all service fees in full and on time (if applicable).
  • Notify of payment information changes when necessary.

4. CONTENT POSTING RULES

4.1. Permitted Content

  • Legal product and service information in the construction materials field.
  • High-quality, clear product images that do not infringe copyright.
  • Detailed, accurate descriptions of features and specifications.
  • Contact information, address, and official business website.

4.2. Prohibited Content

  • False, fraudulent, or misleading information.
  • Prohibited products, counterfeits, or illegal goods.
  • Content that violates ethics or public order.
  • Images or video with inappropriate or copyright-infringing content.
  • Unfair comparative advertising or defamation of competitors.

5. PRICING AND TRANSACTION RULES

  • Prices must be clearly and transparently stated, including any additional fees (if any).
  • Prices may not be changed after the customer has confirmed the order.
  • Suppliers are responsible for direct transactions with customers; VNMaterial is a connection platform only.
  • Honor commitments on delivery time and product quality.

6. REVIEWS AND FEEDBACK RULES

  • Suppliers may respond to customer reviews and comments.
  • Do not create fake reviews, self-review, or ask others to post false reviews.
  • Handle complaints seriously, transparently, and promptly.
  • Do not delete or alter customer reviews.

7. VNMATERIAL RIGHTS

  • Review, reject, or remove inappropriate content without prior notice.
  • Suspend or terminate supplier accounts that violate these terms.
  • Request suppliers to provide documents proving legality of products and services.
  • Change these terms at any time and notify suppliers.

8. LIABILITY AND LIMITATIONS

8.1. Supplier Liability

  • Fully responsible for the quality and safety of products and services provided.
  • Responsible for any disputes or complaints arising from transactions with customers.
  • Compensate VNMaterial and third parties for damages caused by violations.

8.2. Limitation of VNMaterial Liability

  • VNMaterial is a connection platform only and does not directly participate in transactions.
  • Not responsible for the quality, price, or delivery of products and services.
  • Does not guarantee absolute accuracy of information provided by suppliers.
  • Not responsible for disputes between suppliers and customers.

9. DATA SECURITY AND PROTECTION

  • VNMaterial is committed to protecting supplier information under its privacy policy.
  • Suppliers must keep login information secure and not share with others.
  • Public information (company name, products, prices) will be displayed on the website.
  • Sensitive information (passwords, payment details) is encrypted and protected.

10. TERMINATION

VNMaterial may terminate a supplier account in the following cases:

  • Violation of the terms in this document.
  • Providing false or fraudulent information.
  • Failure to pay service fees (if any) after the due date.
  • Illegal activity or violation of law.
  • Request by a competent government authority.

Suppliers may request account termination at any time after fulfilling financial obligations (if any).

11. CHANGES TO TERMS

VNMaterial may change these terms at any time. Changes will be communicated by email or website notice. Continued use of the service after changes constitutes acceptance of the new terms.

12. DISPUTE RESOLUTION

  • Disputes will be resolved primarily through negotiation and mediation.
  • If resolution is not possible, disputes will be brought to the competent courts of Vietnam.
  • Vietnamese law applies.
